HSCA Governance


The Heritage Springs Community Association (HSCA) is a Home Owners Association (HOA). The HSCA is operated under the regulations set forth in Florida Statue 720, and by the language set forth in the Community's Covenants, Conditions and Restrictions. For tax purposes, HSCA is registered with the State of Florida as a Not for Profit Corporation (Florida Statute Title XXXVI Chapter 617). This statute further defines the responsibilities of the Business Entity and the responsibilities of its Board Members.

Heritage Springs is part of a three-tiered Association structure. The Master Association is referred to as the Trinity Communities Master Association (TCMA). Each of the 14 separate and independent communities within the TCMA (of which Heritages Springs is one) must pay monthly dues to support the maintenance of the Association’s common grounds, water management infrastructure, utilities, funding of reserves, etc. (Please refer to the TCMA website for additional information.)

The lowest of the three-tiers consists of Villages within Heritage Springs that have their own Home Owners Association, Covenants, and Board of Directors. These Villages must operate within the guidelines set forth in the HSCA Covenants, Conditions and Restrictions, Policies, and Rules and Regulations.

The HSCA Board of Directors consists of seven elected members. Officers include a President, Vice-President, Treasurer, and Secretary. The role of the Board is to insure that the HSCA is compliant with requirements set forth primarily under Florida Statute 720, and the Community's Covenants, Conditions and Restrictions. Fiduciary duties include the setting of the yearly fees, posting a yearly financial statement, funding of reserves, reporting of Federal, State and County Taxes, etc. The Board also serves in a “Policy-Making” role, defining policies that deal with broad institutional issues that guide Board and Management action.

The Board typically meets twice a month. Under Florida law, the meeting date and time must be posted ahead of time. A Board Workshop is held in advance of the monthly Board Meeting to discuss proposed expenditures, changes to policies, rules and regulations, etc. The Board Meetings are open to all HOA Members.

The General Manager reports directly to the Board and manages the day-to-day operations of the community and the golf course. The three key departments are HOA, Food & Beverage and Golf. A budget is prepared each year. Each department’s performance is tracked and measured against the provisions in the budget, and are reported on monthly.

Committees serve as an extension of the Board. Committee members volunteer and are chosen to serve on HSCA approved committees. Committees assist in the annual budgeting process by identifying capital projects for the coming year, and by suggesting to the Department Managers ways to enhance and improve the community.

The Heritage Springs infrastructure is partially supported through a Community Development District (CDD). The CDD is a local, special purpose government framework authorized by Chapter 190 of the Florida Statutes. It is an alternative to Municipal Incorporation, for the purpose of managing and financing infrastructure. (Please refer to the CDD webpage for additional information.)

Heritage Springs Members can participate in the governance of the HSCA by running for the Board of Directors, by signing up for a Committee, and by attending Board and Committee Meetings. In addition, “Resident Action Forms ("Green Sheets”), and e-mails or letters outlining any suggestions or concerns, can be submitted to the Administration. They will be forwarded as appropriate, to the Board of Directors, the General Manager, Department Managers, or relevant Committees.
